Under review A draft for DIALE's lawyer to review. It takes effect when ordering opens, and may change before then.

Terms and conditions

These terms apply when you use the DIANO IT website or order anything from DIALE Consulting (Pty) Ltd ("DIALE", "we"). Each order also has its own agreement, signed online, which sets out what you ordered, the price and the term. If that agreement and these terms differ, the signed agreement applies.

1. Ordering

  • You must be 18 or older, or a business, to order. A parent or guardian orders for a student under 18.
  • Before you pay, the cart shows every item, quantity, price, fee and the VAT, and you can correct your order.
  • An order becomes binding when you have been verified, you have paid what is due, and both you and DIALE have signed the agreement online.
  • We may refuse an order, for example if we cannot verify who you are. If you have already paid, we refund you in full.

2. Prices and payment

  • Prices are in South African rand. They are shown excluding VAT, with the VAT-inclusive price beside them. VAT is charged at 15%.
  • You pay through PayFast. DIANO IT never sees or stores your card number.
  • New hardware is paid before or on delivery. Rentals, plans and subscriptions are paid one period in advance.
  • A rental or plan period that is not paid does not start. Rentals are not credit: no interest or late-payment fees are charged on them.
  • Prices on the website can change, but the price in your signed agreement does not change during its term, except as that agreement allows.

3. Delivery and installation

  • We deliver or install at the address in your order, at the time we agree with you. You or someone you appoint signs the hand-over note.
  • Goods you buy become yours, and at your risk, when they are delivered and paid for.

4. Rentals

  • Rented equipment stays DIALE's property. You may not sell, lend, sub-let or pledge it, or take it out of South Africa without our written consent.
  • DIALE insures its own equipment. If equipment is lost, stolen or damaged while you have it, you pay the excess shown in your agreement, and any loss the insurance does not cover because of your fault.
  • Report loss or theft to us and to the police within 24 hours, with the case number.
  • Rented devices carry protection software that lets DIALE locate the device and, after the notices described in your agreement, lock it. You may not remove, disable or tamper with it. A lock never deletes your files. Section 9 of our privacy policy explains what location information we collect and when.
  • You keep your own copies of your data. When equipment comes back, we wipe it to a recognised standard and give you a certificate.
  • You can extend a rental at the extension price in your agreement, by signing the extension online. At the end, you return the equipment or buy it at its market value at the time.

5. Managed IT and support plans

  • Your plan sets the support hours and the response and resolution times for each priority. You can follow every call's clock in the Client Portal.
  • Plans don't cover work caused by misuse, unlicensed software, or changes made by someone else. We quote that work separately before we do it.
  • Give us the access we reasonably need. We never ask for your passwords by e-mail or in a call.

6. Projects, websites and software

  • Projects run on a signed scope and a fixed quote split into milestones. Each milestone is paid before work on it starts, and you approve it online.
  • Changes to the scope are quoted and signed before we do them.
  • When you have paid in full, you receive a licence to use the website or software we built for you. If you want to own the copyright, we transfer it by a separate written assignment that both parties sign. The law requires that assignment to be in writing and signed.
  • Third-party products (hosting, domains, licences, plugins) are under their own terms.

7. Warranty and liability

  • You have every right the Consumer Protection Act gives you, including the right to return defective goods within six months for repair, replacement or a refund. Nothing in these terms limits those rights.
  • Where the law allows, DIALE is not liable for indirect or consequential loss, such as lost profit or lost data, and our total liability on an order is limited to what you paid for it in the 12 months before the claim. This does not apply to loss caused by our gross negligence or wilful misconduct.

8. Cancelling and ending

  • Your rights to cancel, including the cooling-off periods, are on the returns and cancelling page.
  • Either party may end an agreement for a material breach the other does not fix within 20 business days of written notice.

9. Rent-to-own and credit

Rent-to-own and other credit agreements are not offered yet. When DIALE is registered with the National Credit Regulator, they will be made under a separate credit agreement that follows the National Credit Act, with an affordability assessment and a pre-agreement statement and quotation.

10. General

  • South African law applies.
  • We send notices by e-mail to the address in your account. Our address for legal notices is 16 Puffback Street, Centurion, Gauteng, 0157.
  • Agreements are concluded and signed electronically, as the Electronic Communications and Transactions Act allows. You can download and keep a copy of every agreement you sign.
  • For a problem with an order, see our complaints process.
